1. Introduction and Agreement

These Partner Terms & Conditions ("Terms") govern your participation in the tickadoo | CONNECT programme, operated by tickadoo Inc., 447 Broadway, New York, NY 10013, United States ("tickadoo", "we", "us", "our"). By completing the sign-up process and accessing the tickadoo | CONNECT platform, you ("Partner") agree to be bound by these Terms in full.

The tickadoo | CONNECT programme enables Partners to embed a tickadoo-powered booking widget on their website or use a hosted branded landing page, through which their visitors may browse and book experiences. Partners earn a profit share on completed bookings generated through their referral.

These Terms should be read alongside tickadoo's Privacy Policy. If you do not agree to these Terms, you must not sign up for or use the tickadoo | CONNECT programme.

2. Partner Eligibility

To participate in the tickadoo | CONNECT programme, you must:

• Be a registered business or operate a legitimate commercial website with genuine travel, hospitality, or event-related audience;
• Have the authority to enter into binding agreements on behalf of your organisation;
• Comply with all applicable laws and regulations in your jurisdiction;
• Not be engaged in any activity that tickadoo, in its sole discretion, considers harmful, deceptive, or reputationally damaging.

tickadoo reserves the right to approve or reject any partner application at its sole discretion without obligation to provide a reason.

3. The tickadoo | CONNECT Product

3.1 Solutions

tickadoo | CONNECT provides two solutions:

• Embeddable Map Widget: An interactive experience map that Partners can embed on their own website using a provided embed code.
• Hosted Landing Page: A white-labelled landing page hosted by tickadoo, customisable with the Partner's logo and brand colours, accessible via a unique URL.

Both solutions display experiences sourced and managed by tickadoo. Partners do not control inventory, pricing, availability, or fulfilment of any experiences.

3.2 Branding

Partners may upload a logo and configure brand colours via their dashboard. Branding is applied to the hosted landing page and the co-branded booking flow. tickadoo reserves the right to reject or remove branding that it considers inappropriate, misleading, or in breach of these Terms.

3.3 Availability

tickadoo does not guarantee that any specific experience, event, or listing will be available through the Partner's widget or hosted page. Experiences may be added, removed, or modified by tickadoo at any time without notice.

4. Profit Share and Payment

4.1 Profit Share Rate

The default profit share rate is 50% of tickadoo's net profit per eligible booking attributed to the Partner. tickadoo may, at its sole discretion, adjust the profit share rate for individual Partners. The applicable profit share rate is communicated to the Partner during onboarding and displayed within their dashboard. tickadoo reserves the right to amend profit share rates with 30 days' written notice to the Partner.

4.2 Profit Share Calculation

Profit share is calculated by tickadoo in its sole discretion. For the purposes of profit share calculation, "profit" means the net revenue generated by tickadoo on a completed booking after deduction of:

• Supplier costs and fees payable to experience providers;
• Payment processing fees (including Stripe fees and applicable charges);
• Refunds, cancellations, and chargebacks relating to the relevant booking;
• Any applicable taxes or levies;
• Any discounts applied to the booking, including tickadoo+ membership discounts, vouchers, and gift cards;
• Any other costs directly attributable to the fulfilment of the booking.

tickadoo's calculation of profit share is final and binding. tickadoo's supplier arrangements, cost structures, and margin information are strictly confidential. Partners have no right to request, audit, or receive disclosure of tickadoo's supplier agreements, commercial arrangements, or underlying cost data. Profit share statements provided to Partners reflect amounts due to the Partner only and do not constitute disclosure of tickadoo's internal financial information.

4.3 Attribution

A booking is attributed to a Partner when a visitor interacts with that Partner's widget or hosted landing page and completes a booking within the attribution window. The default attribution window is 7 days from the point of interaction. Attribution is determined solely by tickadoo's tracking systems. Only one Partner may be attributed per booking. In cases of multiple Partner interactions, the most recent interaction is attributed. In cases of disputed or ambiguous attribution, tickadoo's determination is final.

4.4 Timing of Profit Share

Profit share becomes payable only after the experience date has passed and the relevant booking has not been cancelled, refunded, or subject to a chargeback. Profit share is not earned at the point of booking. tickadoo reserves the right to withhold or claw back profit share payments on any booking that is subsequently cancelled, refunded, or charged back, regardless of whether payment has already been made to the Partner.

4.5 Currency and Settlement

All profit share calculations are performed and settled in United States Dollars (USD). The profit share amount is calculated in USD at the time of booking, based on tickadoo's internal settlement rates. Profit share amounts are not recalculated at the time of payout, regardless of any fluctuation in exchange rates between the booking date and the payout date.

Payouts to Partners are made in USD via Stripe Connect. If a Partner's Stripe Connect account is configured to receive payouts in a currency other than USD, any currency conversion will be performed by Stripe at Stripe's prevailing exchange rate at the time of transfer to the Partner's bank account. tickadoo is not responsible for any foreign exchange fees, conversion losses, or rate fluctuations incurred by the Partner as a result of receiving payouts in a currency other than USD. The Partner is solely liable for any costs associated with currency conversion from USD to their local currency.

4.6 Payment Schedule

Profit share payments are processed monthly via Stripe Connect, directly to the bank account connected to the Partner's Stripe account. Payments are made within 30 days of the end of the calendar month in which the relevant experiences took place. A minimum payout threshold of $50 USD applies; balances below this threshold will roll over to the following month. Partners are responsible for ensuring their Stripe Connect account and bank details are accurate and up to date. tickadoo accepts no liability for failed or delayed payments resulting from incorrect banking information.

5. Partner Obligations and Acceptable Use

Partners agree to:

• Use the tickadoo | CONNECT widget and hosted page only on websites and platforms that they own or have authorisation to use;
• Represent the tickadoo | CONNECT product accurately and not make false or misleading claims about the experiences, pricing, or booking process;
• Not artificially inflate clicks, bookings, or referrals through incentivised traffic, click fraud, bots, or any other deceptive means;
• Not use the widget or hosted page in connection with content that is illegal, offensive, defamatory, discriminatory, or otherwise harmful;
• Maintain appropriate privacy notices on their own website where required by applicable law, including in relation to the embedding of third-party widgets that may collect user data;
• Promptly notify tickadoo of any suspected misuse, fraud, or security issues relating to their account;
• Keep their account credentials secure and not share access with unauthorised parties.

tickadoo reserves the right to suspend or terminate any Partner account that it reasonably believes is in breach of these obligations.

6. Intellectual Property

All intellectual property in the tickadoo | CONNECT platform, widget, hosted pages, booking flow, content, and branding (excluding the Partner's own uploaded logo and brand materials) is and remains the exclusive property of tickadoo. Partners are granted a non-exclusive, non-transferable, revocable licence to use the tickadoo | CONNECT widget and hosted page solely for the purpose of participating in the Connect programme in accordance with these Terms. Partners may not modify, reverse-engineer, or create derivative works from any tickadoo-owned materials.

7. Term and Termination

7.1 Term

These Terms take effect upon the Partner completing the sign-up process and remain in force until terminated by either party.

7.2 Termination by Partner

A Partner may terminate their participation at any time by providing written notice to tickadoo via email or through their dashboard. Closure will take effect within 14 days of receipt of the notice. Accrued profit share on completed bookings will be paid in the next monthly payout cycle.

7.3 Termination by tickadoo

tickadoo may terminate a Partner's account:

• With 30 days' written notice, for any reason, at tickadoo's sole discretion, with no liability for lost future earnings;
• Immediately, without notice, in cases of suspected fraud, misuse, material breach of these Terms, or conduct that tickadoo considers harmful to its brand or reputation.

Upon termination, the Partner's widget embed code and hosted landing page will be deactivated. Any unpaid profit share for completed bookings attributed before the termination date will still be paid out in the next monthly payout cycle. tickadoo is not liable for any losses, damages, or costs arising from the termination of a Partner account.

8. Liability and Disclaimers

tickadoo acts solely as a booking platform and intermediary. tickadoo is not responsible for the quality, safety, or delivery of experiences listed on the platform, which are provided by third-party suppliers. Partners are not experience providers and bear no liability for experience fulfilment.

tickadoo provides the Connect platform on an "as is" basis. tickadoo does not guarantee uninterrupted availability of the widget or hosted page and accepts no liability for losses arising from downtime, technical errors, or changes to the platform.

To the maximum extent permitted by applicable law, tickadoo's total liability to a Partner under or in connection with these Terms shall not exceed the total profit share paid to that Partner in the three months preceding the event giving rise to the claim.

9. Data and Privacy

tickadoo collects and processes data in connection with the Connect programme in accordance with its Privacy Policy. All booking data, customer data, and transactional data generated through the Partner's widget or hosted page is owned by tickadoo. Partners have no ownership rights over this data and may not attempt to collect, scrape, or export it outside of the reporting functionality provided in their dashboard.

Partners are independently responsible for ensuring that their own website and promotional activities comply with applicable data protection laws, including in relation to the use of third-party widgets and cookies. Partners should ensure their own privacy notices adequately disclose the use of the tickadoo | CONNECT widget where required.

10. General

tickadoo may update these Terms from time to time. Partners will be notified of material changes by email. Continued use of the tickadoo | CONNECT platform following notification of changes constitutes acceptance of the updated Terms.

These Terms are governed by and construed in accordance with the laws of the State of New York, United States. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New York, New York.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy, constitute the entire agreement between the Partner and tickadoo in relation to the tickadoo | CONNECT programme and supersede all prior discussions, agreements, or representations.
